Terms of Service

Plain-language summary: You get 30 days free. After that, you're committing to 12 months billed monthly by ACH. If you cancel early, an early termination fee applies. Subscriptions renew automatically unless you give 30 days' notice before the renewal date.

1. Agreement

These Terms of Service ("Terms") form a binding agreement between All Access IDM, LLC ("All Access IDM," "we," "us") and the organization completing the signup process ("Customer," "you"). By checking the acceptance box during signup, you confirm that you are authorized to bind your organization to these Terms.

2. Subscription and Fees

2.1 Plan and Pricing

Your subscription tier (Community or Growth) is determined at signup based on your institution's total assets as reported by the FDIC or NCUA. Pricing is:

  • Community (under $500M in assets): $750 per month
  • Growth ($500M–$2B in assets): $1,750 per month

2.2 Free Trial

New subscriptions include a 30-day free trial. No charges are applied during the trial period. Your ACH payment authorization is collected at signup but not drawn until the trial ends.

2.3 Annual Commitment

Following the free trial, your subscription is an annual commitment billed monthly. You are committing to 12 monthly payments at your plan rate. The annual commitment period begins on the day your trial ends.

2.4 Payment Terms

Invoices are issued monthly and are due within 30 days of the invoice date (Net 30). Payment is collected automatically by ACH debit from the bank account you authorize during signup. You authorize All Access IDM to initiate ACH debits for amounts invoiced under these Terms.

2.5 Late Payment

Accounts more than 15 days past due may be suspended. Accounts more than 45 days past due may be terminated. We will make reasonable efforts to contact you before taking either action.

3. Early Termination

If you cancel your subscription before the end of your current annual commitment period, an early termination fee equal to 50% of the remaining monthly payments in the commitment period will be charged.

Example: If you cancel with 4 months remaining on your commitment at $750/month, the early termination fee is $750 × 4 × 50% = $1,500.

To cancel, contact hello@allaccessidm.com. Cancellations take effect at the end of the current billing period. No refunds are issued for partial months.

4. Automatic Renewal

At the end of each annual commitment period, your subscription automatically renews for another 12-month term at the then-current rate for your tier. We will notify you by email at least 30 days before the renewal date.

To opt out of automatic renewal, you must notify us in writing at hello@allaccessidm.com at least 30 days before your renewal date.

5. Service and Availability

We target 99.5% monthly uptime for the All Access IDM platform, excluding scheduled maintenance windows communicated in advance. We do not guarantee that the service will be uninterrupted or error-free.

6. Data and Security

6.1 Your Data

You retain ownership of all data you import into All Access IDM. We do not sell, share, or use your data for any purpose other than providing the service and fulfilling our obligations under these Terms.

6.2 Data Retention

Upon termination of your subscription, we will retain your data for 90 days, during which you may request an export. After 90 days, your data will be permanently deleted.

6.3 Security

We implement industry-standard security controls appropriate for financial services software. Specific security documentation is available upon request for exam or due diligence purposes.

6.4 AI-Assisted Features

The platform includes an optional AI-assisted import mapping feature that uses the Anthropic API to identify field mappings from CSV column headers. When you use this feature, column header names from your uploaded file are transmitted to Anthropic, PBC. No data values from your file are transmitted. Anthropic does not use API-submitted data to train its models. Use of this feature is voluntary. A complete list of sub-processors is available in our Privacy Policy.

7. Acceptable Use

You may use All Access IDM only for lawful identity governance and access review purposes within your own organization (or, for managed service providers, within the organizations you manage under a separate agreement with us). You may not resell or sublicense access to the platform without our written consent.

8. Limitation of Liability

To the maximum extent permitted by law, All Access IDM's total liability for any claim arising under these Terms is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages of any kind.

9. Warranties

We warrant that the service will perform materially as described in our documentation. We disclaim all other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

10. Governing Law

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the state or federal courts located in Texas, and both parties consent to personal jurisdiction in those courts.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 30 days before material changes take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
